BUZZER SPONSORED MOMENTS OFFER TERMS & CONDITIONS
These Terms and Conditions (“Offer Terms”) for the Buzzer Sponsored Moments Night (the “Sponsored Moments Night”) on Buzzer are provided by Buzzer Technologies Inc. (“Buzzer," “our,” “us” or “we”) for the purpose of promoting and offering the Sponsored Moments Night to Buzzer account holders (“you” and “your”) on the dates specified by us.
The Buzzer Terms of Use (the “Terms”) and Privacy Policy apply for the Sponsored Moments Night.

1. Promotional Offer: To receive the Sponsored Moments Night from Buzzer, you must be a Buzzer account holder. To be a Buzzer account holder, you must sign up for an account, select a password and user name/email address (“Buzzer User ID”), and provide us with certain information or data, such as your contact information. Your creation of your account and the information you supply to us are subject to the Terms. Upon creation of your Buzzer User ID, or upon signing into your Buzzer User ID, you will be able to access all National Basketball Association (“NBA”) games featured on Buzzer, during the Sponsored Moments Night for no additional fee or cost. Note that NBA games featured during the Sponsored Moments Night are subject to change at the NBA’s discretion at any time, both before and during each game and Buzzer has no control over such broadcasts. You are not guaranteed the ability to view any particular NBA game at any time. Based on your location, there may be certain NBA games that you will be unable to view or nationally broadcast games via Buzzer. Please consult your local TV and radio broadcaster schedules for where to find broadcasts in your area.
This offer is limited to residents of the fifty (50) United States and D.C., aged 13 or older. Theft, diversion, reproduction, transfer, or sale of this offer is prohibited and constitutes fraud. No substitutions or cash redemptions. SPONSORED MOMENTS NIGHTS ARE ONLY AVAILABLE ON THE DATES SPECIFIED BY US AND ALL OTHER TIMES YOU MUST PAY APPLICABLE FEES AS DESCRIBED IN OUR TERMS TO VIEW CONTENT ON BUZZER.

2. General Conditions: We reserve the right in our sole discretion to prohibit admission to and/or restrict access to the Sponsored Moments Night to any individual we find to be engaging in fraud or undermining the legitimate operation of the Sponsored Moments Night or acting in an abusive, fraudulent, deceptive or disruptive manner or in violation of these Offer Terms. Any attempt by any person to undermine the legitimate operation of the Sponsored Moments Night, such as broadcasting or streaming the Buzzer platform, may be a violation of criminal and civil law and should such an attempt be made, we reserve the right to seek damages from any such person to the fullest extent permitted by law.
We reserve the right, in our sole discretion, to cancel, terminate, modify, extend or suspend the Sponsored Moments Night should (in its sole discretion) virus, bugs, non-authorized human intervention, fraud, epidemics or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sponsored Moments Night. Requests not complying with all offer requirements will not be honored.
By participating, you agree to release and hold harmless Buzzer, and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, the “Released Parties”), from and against any liability, loss, claims or causes of action arising out of participation in the Sponsored Moments Night and/or receipt, use or misuse of the Sponsored Moments Night or the Buzzer app, including, but not limited to: (a) unauthorized human intervention in the Sponsored Moments Night; (b) technical, mechanical or other errors; (c) the administration of the Sponsored Moments Night (including any errors) and/or the downloading or using of the Buzzer app; and/or (d) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Sponsored Moments Night. You further agree that in no event shall the Released Parties be liable for attorney’s fees.

3. Legal Obligations. It is your responsibility to ascertain and obey all applicable local, state, federal, and international laws (including minimum age requirements and tax obligations) in connection with the redemption of the Sponsored Moments Night. In no event shall we or any of our affiliates or agents be responsible or liable to you for any indirect, special, exemplary, punitive or consequential damages, including without limitation lost revenue, lost profits, or lost opportunity, in connection with or relating to the Program or its administration, or that result from the use of or inability to use the Sponsored Moments Night or the Buzzer app, even if we have been made aware of the possibility of such damages. In addition, we make no warranty or representation either expressed or implied, and expressly disclaim any and all liability and damages with respect to the availability or use of the Sponsored Moments Night.
